By accessing or using any products or services provided by Taiyo Synergies ("Company," "we," "us," or "our"), including but not limited to DailyNote, DepthType, DailyPic, and any other applications or services under our portfolio, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

Taiyo Synergies provides mobile applications and SaaS products designed to enhance productivity, creativity, and efficiency. Our services include but are not limited to:

• DailyNote - A note-taking application for organizing thoughts and ideas
• DepthType - AI-powered background removal and image editing tools
• DailyPic - Photo tracking application for fitness, plants, and personal projects
• Additional products and services as they become available

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

3. User Accounts

To access certain features of our services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Subscription & Payments

Some of our services may require paid subscriptions. By subscribing, you agree to the following:

• Billing: Subscription fees are billed in advance on a recurring basis (monthly or annually as selected)
• Auto-Renewal: Subscriptions automatically renew unless canceled before the renewal date
• Price Changes: We reserve the right to modify subscription prices with 30 days' notice
• Payment Methods: You authorize us to charge your designated payment method for all fees
• Failed Payments: If payment fails, we may suspend your access until payment is resolved

5. Refund Policy

We strive for customer satisfaction. Our refund policy is as follows:

Refunds are processed within 7-10 business days to the original payment method. You will lose access to the service immediately upon refund approval.

Cancellation: You may cancel your subscription at any time through your account settings or by contacting support. Cancellations take effect at the end of the current billing period, and you will retain access until that date.

6. User Content & Intellectual Property

You retain ownership of any content you create, upload, or store using our services ("User Content"). By using our services, you grant us a limited, worldwide, non-exclusive license to host, store, and process your User Content solely to provide and improve our services.

All intellectual property rights in our services, including design, code, trademarks, and content, remain the exclusive property of Taiyo Synergies. You may not copy, modify, distribute, or reverse engineer any part of our services without prior written consent.

You agree not to use our services to:

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAIYO SYNERGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING OUT OF YOUR USE OF OUR SERVICES.

You agree to indemnify and hold harmless Taiyo Synergies, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services or violation of these Terms.
